Invoice terms and conditions

  1. These conditions shall apply to the Contract to the exclusion of any other terms and conditions contained or referred to in any order, letter, form of contract or other communication sent by the customer to Roberts Communications, Inc. and the provisions of these conditions shall prevail unless expressly varied in writing and signed by an officer of Roberts Communication, Inc.
  2. If any of these conditions shall be invalid or held invalid or shall be deemed inapplicable the remaining provisions shall continue in full force and effect.
  3. The Customer shall indemnify Roberts Communications, Inc. in respect of any loss, cost or expense incurred by the company as a result, directly or indirectly, of the customer’s instructions or lack of instructions or through any failure or delay whatsoever in taking delivery or through any other act, neglect or default on the part of the customer, its servants agents or employees.
  4. All times, dates or periods given for delivery of the Goods are given in good faith but without any responsibility of the part of Roberts Communications, Inc.
  5. Time of Delivery shall not be of the essence of the Contract.
  6. No liability (whether in contract or for negligence or otherwise) for loss of or damage to the Goods occurring prior to delivery or for any claim that any item delivered pursuant to the contract is defective or is otherwise not in accordance with the contract or for non-delivery will attach to Roberts Communication, Inc. unless claims to that effect are notified in writing by the customer to Roberts communications, Inc. within seven (7) days of delivery for loss, damage, defect or non0compliance.
  7. Roberts Communications, Inc. shall be entitled to delay or cancel delivery or to reduce the amount of goods delivered if and to the extent that it is prevented from or hindered in or delayed in obtaining or delivering the goods through any circumstances beyond its control including, strikes, lock-outs, accidents, war, fire, reduction in or unavailability.
  8. The Contract shall in all respects be governed by and construed in accordance with the law of the Commonwealth of Pennsylvania and shall be deemed to have been formed in the Commonwealth of Pennsylvania and the parties agree to submit to the exclusive jurisdiction of the courts of the Commonwealth of Pennsylvania in relation to all matters arising out of or in connection with these conditions.
  9. Roberts Communications Services Inc. warrants the products described on this invoice to the extent and on the terms set forth in the express, limited warranty the manufacturer of these products offers for products sold in its normal distribution channel. Notwithstanding anything above stated to the contrary, this warranty is the same as the Manufacturer’s warranty (up to a maximum of 90 days) for component parts of telephone systems, is limited by the same assumptions as to intended use and similar restrictions as the Manufacturer’s warranty, and extends for the same term as the Manufacturer’s warranty up to one year. Roberts Communications Services Inc .shall not is liable for any incidental, indirect or consequential damages arising from the purchase or use of or otherwise related to the items described on this invoice.
  10. Requests for returns must be approved by Roberts Communications Services Inc. in writing. No returns will be accepted without such prior written approval and only on the terms as conditions specified therein. Approved returns will be subject to a 20% restocking charge.
  11. Within 5 days of receipt of the items described on this invoice, Roberts Communications Services Inc. must be notified in writing of missing, damaged, or inoperable items. Notice must be given by certified mail, return receipt requested, by a nationally recognized overnight service or by fax with confirmation of delivery. Unless such written notice is given in accordance with this paragraph, all sales are final.
  12. Agreed payment terms are indicated on the invoice. Overdue payments are subject to collection by any means necessary including litigation, collection or use of credit card on file.
  13. Roberts Communications Services Inc. reserves the right to amend, modify, or revise any or all of the terms hereof without notice to Buyer.
